  2.                       PROMOTIONAL AGREEMENT 
  3. Universal BBS, referred to as BBS, and Hokey Pokey Inc., referred
  4. to as MANUFACTURER, agree: 
  5.  
  6. Universal BBS operates a computer telecommunications service (BBS)
  7. providing various computer services for the public. 
  8.  
  9. Hokey Pokey Inc. is the MANUFACTURER of the following products: 
  10.  
  11. Hokey Software 
  12.  
  13.  
  14. MANUFACTURER shall include in the products stated above a 
  15. promotional advertisement for purchasers of MANUFACTURER's 
  16. product to purchase BBS services from BBS. The advertisements 
  17. shall be printed and provided by the BBS and shall include a
  18. unique  identifying code for MANUFACTURER.

  22. All replies shall be received and processed by the BBS. The BBS 
  23. shall make a monthly accounting report to MANUFACTURER of the 
  24. number of orders received. MANUFACTURER shall be paid a 
  25. commission of $ 25 ( twenty five & no/100 dollars) per sale.
  26. MANUFACTURER's  commissions shall be paid solely upon paid
  27. accounts. BBS shall  advance to MANUFACTURER commissions earned
  28. based upon the sales  which are received prior to collection.
  29. However, BBS may in its  discretion withhold no more than 5% of
  30. the commission due to  allow for dishonored checks, credit card
  31. chargebacks and refunds.  BBS shall be entitled to use its
  32. business judgment to determine  if it any refunds are to be made
  33. and to determine methods used to  collect delinquent accounts.

  37. The BBS offer provided for in this agreement shall be the only 
  38. offer for computer telecommunications services contained within 
  39. the products. However, this shall not prevent MANUFACTURER from 
  40. referring to customer services through telecommunications 
  41. services which it offers generally to the public.

  45. This agreement may be terminated by either party upon 15 days 
  46. notice. 
  47.  
  48. BBS shall indemnify MANUFACTURER from any claims related to its 
  49. performance of placed orders. 
  50.  
  51. This is the entire agreement between the parties and may only be 
  52. altered by a writing executed by the parties hereto.
